What information is disclosed in an SEC Form 10-Q quarterly report?

By Easy Money Scanner · Educational reference · Not investment advice

    The short answer

A 10-Q discloses unaudited quarterly financial statements, MD&A on recent performance, updates to legal proceedings, and material changes in risk factors, providing investors interim insight between annual 10-K filings.

    How it works

Unlike the annual 10-K, the 10-Q is less comprehensive and unaudited, but it reveals quarter-over-quarter trends in revenue, margins, and balance sheet items useful for tracking a company's trajectory between annual reports.

    An example

An investor tracking a retailer's inventory buildup across consecutive 10-Qs might spot a slowdown trend before it's reflected in the annual 10-K.

    Risk & limitations

Because 10-Q figures are unaudited, treat them as preliminary and cross-check significant items against the subsequent audited annual filing.

Examples are hypothetical, not trade recommendations. US contract and regulatory references do not automatically apply in Canada. Rules, margin requirements and broker policies can change; confirm them with the relevant authority and your broker.
